Terms of Service.

These Terms of Service (the “Terms”) are a binding agreement between you and Peak Signal Trading LLC, an Illinois limited liability company with offices at 141 W Jackson Blvd, Suite 2200, Chicago, IL 60604 (“Peak Signal,” “we,” “us”). They govern your access to and use of peaksignaltrading.com, the Peak Signal platform, applications, APIs, data, signals, and research (collectively, the “Service”). Our Risk Disclosure and Privacy Policy are incorporated into these Terms by reference.

01. Acceptance of these Terms

By creating an account, starting a trial, or otherwise accessing the Service, you accept these Terms. If you are using the Service on behalf of a firm or other entity, you represent that you have authority to bind that entity, and “you” refers to the entity. If you do not agree to these Terms, do not use the Service.

02. The Service

The Service is subscription software: market analytics, flow detection, screening, strategy backtesting, alerting, risk-configuration tools, and research publications. Everything in the Service is provided for informational and educational purposes only.

The Service is expressly not brokerage, order execution, custody, banking, or individualized investment advice. Peak Signal is not a registered broker-dealer or investment adviser, does not route or execute transactions, does not hold client funds or securities, and does not make recommendations tailored to any person. No fiduciary or advisory relationship is created by your use of the Service. You are solely responsible for your trading decisions, as described further in the Risk Disclosure.

03. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate registration information and keep it current. Each subscription seat is licensed to one named individual; credentials may not be shared. You are responsible for safeguarding your password, for enabling reasonable security measures such as multi-factor authentication, and for all activity under your account. Notify us promptly at desk@peaksignaltrading.com of any suspected unauthorized use. We may suspend accounts that present a security risk or violate these Terms.

04. Subscriptions, trials, and billing

Trials. New members receive a 14-day free trial of paid features. No payment card is required to start a trial, and trials do not convert to paid plans unless you affirmatively subscribe.

Billing. Paid tiers are billed monthly or annually, in advance, and renew automatically until cancelled. You may cancel at any time in account settings; cancellation takes effect at the end of the current billing period, and you retain access until then. Fees for partial monthly periods are not refunded.

Annual money-back guarantee. Annual plans may be cancelled for a full refund within 14 days of the initial annual purchase.

Changes and taxes. We may change prices with at least 30 days' notice; changes apply from your next renewal. Quoted fees exclude applicable taxes, which are your responsibility. We may suspend access for failed payment after reasonable notice.

05. Acceptable use

You agree not to, and not to permit anyone to:

• scrape, crawl, harvest, or bulk-export any data, signals, or content from the Service, whether manually or by automated means;
• redistribute, resell, rebroadcast, or publicly mirror data, signals, alerts, or research — including into chat servers, newsletters, or competing products;
• reverse engineer, decompile, or attempt to derive the source code, models, or scoring logic of the Service;
• share seats, pool credentials, or exceed the user count of your plan;
• circumvent rate limits, access controls, or entitlement checks; or
• use the Service in violation of law, including securities and commodities laws, or in furtherance of market manipulation.

We may throttle, suspend, or terminate access that violates this section, and data-licensor rules may independently require us to do so.

06. Market data

Market data available through the Service is supplied by third-party licensors, including exchanges and consolidated feeds. Your use of that data is licensed for personal, non-commercial display use only, unless you have signed a separate agreement covering professional or commercial use. Exchanges may require you to certify your professional or non-professional status, and misclassification can result in fees and termination. Data licensors are intended third-party beneficiaries of this section, disclaim all warranties with respect to their data, and may enforce these restrictions directly.

07. Intellectual property

The Service — including software, models, signal scores, strategy templates, research, documentation, design, and the Peak Signal name and marks — is owned by Peak Signal and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription, solely as permitted by these Terms. No other rights are granted. If you send us feedback, you grant us a perpetual, royalty-free license to use it without restriction or attribution.

08. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAK SIGNAL AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DATA OR SIGNALS WILL BE ACCURATE, COMPLETE, OR CURRENT; OR THAT USE OF THE SERVICE WILL BE PROFITABLE. TRADING RESULTS ARE YOURS ALONE, INCLUDING LOSSES.

09. Limitation of liability

To the maximum extent permitted by law: (a) Peak Signal will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, trading losses, lost data, or loss of goodwill, even if advised of the possibility; and (b) Peak Signal's aggregate liability arising out of or relating to the Service will not exceed the total subscription fees you paid to Peak Signal in the twelve (12) months preceding the event giving rise to the claim. These limitations are a fundamental basis of the bargain and apply regardless of the theory of liability. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You will defend, indemnify, and hold harmless Peak Signal, its officers, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your trading decisions, your violation of these Terms or applicable law, your breach of market-data license requirements, or your infringement of any third-party right.

11. Governing law and arbitration

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its applicable rules, seated in Chicago, Illinois, before a single arbitrator. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or data-misuse claims.

Class-action waiver. All disputes will be resolved on an individual basis only. You and Peak Signal each waive the right to participate in a class action, class arbitration, or representative proceeding, and each waive the right to a jury trial.

12. Changes

We may modify the Service, and we may revise these Terms. For material changes we will give at least 30 days' notice by email or in-app notice before the revised Terms take effect. Your continued use of the Service after the effective date constitutes acceptance; if you object, cancel before that date and, for annual plans, we will refund the unused portion of your term.
